(APRNEWS) - In a landmark move, T-Mobile has announced its decision to acquire nearly all of regional carrier United States Cellular's wireless operations, including customers, stores, and 30% of its spectrum assets. This acquisition, valued at $4.4 billion, marks a significant shift in the competitive landscape of the telecom industry.

Details of the Acquisition

The announcement follows nearly ten months after U.S. Cellular revealed it was exploring strategic options. The company's shares surged more than 10% in pre-market trading, reflecting investor confidence in the deal. U.S. Cellular will retain ownership of approximately 70% of its spectrum, its equity-method investments, and 4,400 telecom towers. Additionally, T-Mobile will become a long-term tenant on at least 2,600 of these towers.

Financial Implications and Strategic Benefits

T-Mobile aims to enhance its coverage and service quality through this acquisition. The telecom giant will fund the deal through a combination of cash and up to $2 billion of debt, which will be assumed through an exchange offer to some of U.S. Cellular's debtholders. Notably, T-Mobile does not anticipate any negative impact on its financial forecast or shareholder return program for 2024. Instead, it expects to yield about $1 billion in operating expense and capital spending cost synergies, enhancing its return on investment (ROI) and overall investment management.

Regulatory and Shareholder Approvals

The deal, expected to close in mid-2025, is subject to regulatory approvals. Shareholders are not expected to act on this deal as Telephone and Data Systems, which holds an 83% stake in U.S. Cellular, has already provided written consent approving the acquisition. This strategic consolidation aims to bolster T-Mobile's position in the finance sector and drive significant growth in its customer base and service offerings.

Previously, Verizon had been in talks to acquire parts of U.S. Cellular, highlighting the increasing interest in regional carriers by major telecom companies.
